Terms & Conditions

These Terms and Conditions (“Terms”) govern the sale of products and services by Precision Farming Solutions LLC (“Company,” “we,” “us,” or “our”). By purchasing products from the Company, whether in person, by phone, online, or through another avenue, the customer (“Customer,” “you,” or “your”) agrees to be bound by these Terms.

1. Pricing

All prices are subject to change without notice. The Company reserves the right to correct pricing or typographical errors prior to order acceptance or shipment. Quoted prices do not include taxes, freight, handling, installation, or other applicable charges unless explicitly stated.

2. Order Acceptance

All orders are subject to acceptance by the Company. Orders totaling $5,000 or more require an authorized customer signature prior to processing. Submission of an order constitutes acceptance of these Terms.

The Company reserves the right to refuse or cancel any order at its discretion.

3. Deposits and Payment

Orders totaling $5,000 or more require a 75% deposit at the time the order is placed unless alternative financing or payment arrangements have been approved in writing by the Company.

The remaining balance shall be due according to the terms stated on the invoice. Failure to make required payments may result in delayed shipment, cancellation of the order, or suspension of future orders.

4. Late Payments

Invoices not paid by the due date are subject to a finance charge of 1.5% per month (18% annually) on the unpaid balance or the maximum rate permitted by law, whichever is less.

The Customer agrees to pay all reasonable costs of collection incurred by the Company, including attorney’s fees, court costs, and collection agency fees.

5. Order Cancellation

Orders cancelled after placement may be subject to a restocking or cancellation fee of up to 20% of the order value.

Special-order, custom, or non-returnable items may not be cancelled once ordered and may be subject to additional charges.

Orders may not be cancelled after shipment.

6. Returns

Returns must be approved in advance by the Company. Unauthorized returns may be refused.

Approved returns must:

  • Be requested within 30 days of purchase
  • Be unused and in original packaging
  • Include all accessories, components, and documentation

Returns may be subject to a restocking fee. Certain items, including special-order items, electronics that have been activated or installed, or custom products, may not be eligible for return.

7. Shipping and Risk of Loss

Shipping dates are estimates and are not guaranteed. The Company is not responsible for delays caused by carriers, manufacturers, or circumstances beyond our control.

Risk of loss and title to the products pass to the Customer upon shipment. Customers must inspect all shipments upon delivery and report any damage or shortages promptly.

8. Product Use, Compatibility, and Installation

The Customer is responsible for ensuring that purchased products are compatible with their equipment and are installed and used properly.

Precision agriculture equipment may require proper configuration, calibration, and installation. The Company is not responsible for damages, malfunctions, or performance issues resulting from improper installation, misuse, modification, or incompatible equipment.

9. Warranty Disclaimer

Products sold by the Company may be covered by manufacturer warranties where applicable. Except for any manufacturer warranties that may apply, the Company makes no warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

Warranty claims must be handled in accordance with the applicable manufacturer’s warranty policies.

10. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to crop loss, yield loss, equipment downtime, lost profits, or loss of business.

The Company’s total liability for any claim arising from the sale or use of products shall not exceed the purchase price of the product giving rise to the claim.

11. Force Majeure

The Company shall not be liable for delays or failure to perform due to circumstances beyond its reasonable control, including but not limited to supply chain disruptions, manufacturer delays, transportation issues, labor disputes, natural disasters, or acts of government.

12. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Indiana, without regard to conflict of law principles.

13. Modifications

The Company reserves the right to modify these Terms at any time. Updated Terms will apply to all future transactions and will be posted on the Company’s website.
